Legal
Terms of Service
The terms that govern your use of our website and Services.
1. Agreement to these Terms
These Terms of Service (“Terms”) form a legal agreement between you (“you,” “Client,” or “user”) and HRUS Consultants LLC (“HRUS Consultants,” “we,” “us,” or “our”), a limited liability company formed in the State of Wyoming, United States. They govern your use of https://www.hrusconsultants.com (the “Site”) and any services we provide (the “Services”).
By accessing the Site, contacting us, or engaging our Services, you agree to these Terms, our Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy, which are incorporated by reference. If you do not agree, do not use the Site or Services.
2. Definitions
- “Services” means the IT and management consulting services described on the Site, including IT consulting and advisory, systems and software selection and implementation, process improvement and automation, project and program delivery, and management consulting — delivered as hands-on, engagement-based work, not advice alone.
- “SOW” means a written statement of work, proposal, engagement letter, or order that describes the specific scope, Deliverables, fees, and timeline for an engagement.
- “Deliverables” means the work product we create for you under an SOW — for example assessments, reports, roadmaps, recommendations, designs, configurations, automations, and other implemented improvements.
- “Client Materials” means the information, data, systems access, branding, processes, and materials you provide to us for use in an engagement.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you act on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms. Our Services are intended for organizations and their operations and technology leaders.
4. Services and statements of work
We provide professional consulting Services on a project, milestone, or retainer basis. The specific scope, Deliverables, fees, schedule, and acceptance criteria for each engagement are set out in an SOW agreed in writing by both parties. In the event of a conflict between an SOW and these Terms, the SOW controls for that engagement.
Estimates, roadmaps, and timelines are good-faith projections based on the information available at the time and on your timely cooperation. Changes to scope are handled through a written change request and may affect fees and schedule. Cancellation and rescheduling are governed by our Refund & Cancellation Policy.
5. Fees, payment, and taxes
Fees are stated in U.S. dollars (USD) and are described in the applicable SOW. We confirm pricing in writing before you commit. We offer two payment methods:
- Card payments online. Standardized engagements, deposits, and retainers may be paid by debit or credit card through our payment processor, Stripe, Inc. Card payments are subject to Stripe’s terms. We do not store full card numbers.
- Invoiced engagements. Custom and larger engagements are confirmed in a written SOW and invoiced — typically with a deposit to reserve capacity and begin work and the balance billed by milestone or on a recurring basis — on Net-15 or Net-30 terms unless the SOW states otherwise.
Unless otherwise stated, fees are exclusive of applicable taxes; you are responsible for any sales, use, or similar taxes (other than taxes on our income). Reasonable pre-approved travel and out-of-pocket expenses may be billed at cost. Undisputed invoices not paid when due may accrue interest at the lower of 1.5% per month or the maximum permitted by law, and we may suspend Services or withhold work product until payment is received.
6. Refunds, cancellation, and rescheduling
Deposits, milestone billing, cancellation rights, rescheduling, and the circumstances under which fees are refundable are described in our Refund & Cancellation Policy. Please review it before engaging us.
7. Client responsibilities
To deliver the Services, we rely on your timely cooperation. You agree to provide accurate information, necessary systems and facility access, appropriate stakeholder availability, and prompt feedback and approvals. You are responsible for decisions you make based on our recommendations and for maintaining adequate backups before we make changes to your systems. You represent that any Client Materials you provide do not infringe third-party rights and that you have the right to share them with us for the engagement. Delays caused by late inputs or access may affect timelines and fees.
8. Intellectual property and license to deliverables
Pre-existing IP and methodologies. We own, or are licensed to use, all right, title, and interest in our tools, frameworks, templates, methodologies, accelerators, and know-how that we owned or developed independently of your engagement (“Our IP”). These Terms do not transfer ownership of Our IP to you.
License to you. Upon our receipt of full payment for an engagement, we grant your organization a perpetual, non-exclusive, non-transferable, worldwide license to use the Deliverables we prepare for you under the applicable SOW — including reports, roadmaps, recommendations, and implemented work — solely for your organization’s internal business purposes. To the extent Our IP is embedded in a Deliverable, that license extends to the use of Our IP as part of that Deliverable. Except where an SOW expressly says otherwise, you may not resell, sublicense, or publish the Deliverables, or use them to provide consulting services to third parties.
Custom assignment. Where an SOW expressly provides that specific custom Deliverables created solely for you are assigned to you, that assignment takes effect upon full payment; in all cases, Our IP and our underlying methodologies and know-how remain Our IP.
Third-party and Client Materials. Open-source and third-party components are licensed to you under their own license terms. Client Materials, including your logos and proprietary information, remain yours; you grant us a limited license to use them only to perform the engagement. Reference. Unless an SOW states otherwise, we may identify you as a client and describe the general nature of the engagement for marketing purposes, without disclosing your confidential information.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel or subcontractors bound by similar obligations. Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
10. Third-party services
The Services may rely on third-party platforms such as our payment processor (Stripe), cloud providers, and software vendors. We are not responsible for the acts, omissions, availability, or terms of third parties, and your use of their services may be subject to their own terms and policies.
11. Warranties and disclaimers
We warrant that the Services will be performed in a professional and workmanlike manner by qualified personnel, consistent with generally accepted industry standards. As your sole remedy for a breach of this warranty, we will re-perform the affected Services at no additional charge, provided you notify us in writing within thirty (30) days of delivery of the affected Deliverable or milestone.
EXCEPT AS EXPRESSLY STATED, THE SITE, DELIVERABLES, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OUR CONSULTING IS ADVISORY AND EDUCATIONAL IN NATURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY PARTICULAR FINANCIAL, OPERATIONAL, COMPLIANCE, OR BUSINESS OUTCOME, AND WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT ISSUE PROFESSIONAL CERTIFICATIONS, CREDENTIALS, OR ACCREDITATION.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
By you. You agree to indemnify and hold harmless HRUS Consultants LLC and its members, officers, and personnel from any third-party claims, damages, and reasonable expenses arising from your breach of these Terms, your misuse of the Services, or Client Materials you provide to us.
By us. We will indemnify you against third-party claims that the custom Deliverables we create for you, as delivered by us, infringe a U.S. patent, copyright, or trade secret, provided you promptly notify us, permit us to control the defense and settlement, and reasonably cooperate. This obligation does not apply to Our IP licensed to you, to third-party or open-source components, to Client Materials, to your modifications of the Deliverables, to use of a Deliverable in combination with materials not supplied by us, or to use outside the license granted in section 8. This indemnity is subject to the limitation of liability in section 12 and is your exclusive remedy for infringement claims.
14. Term and termination
These Terms apply while you use the Site or Services. Either party may terminate an engagement as provided in the applicable SOW or the Refund & Cancellation Policy. Upon termination, you will pay for Services performed and non-cancellable costs incurred up to the termination date, less any refund due under the Refund & Cancellation Policy, and we will deliver the work product paid for. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification) survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute informally first. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and the parties consent to venue there. Nothing prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.
16. SMS / text messaging
If you provide a mobile number and opt in, HRUS Consultants LLC may send you SMS text messages related to your inquiry or consulting engagement — for example, replies to your questions, scheduling and meeting confirmations, schedule or reschedule notices, project updates and reminders, and billing notifications — and, if you separately opt in, occasional marketing texts (insights and service offers). Our SMS program is opt-in only. You consent by checking the relevant unchecked consent box on our contact form (or by texting us first), and consent is never a condition of purchase or of using the Services.
Message frequency varies, and message and data rates may apply. Reply STOP at any time to unsubscribe and HELP for help; we honor STOP requests promptly. We never sell or share your mobile information with third parties or affiliates for their marketing. Our messaging program is operated consistent with the U.S. Telephone Consumer Protection Act (TCPA) and carrier A2P 10DLC registration requirements.
These are summary terms; the full details are in our SMS Terms, which are part of these Terms.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest version. Material changes will be posted on this page and, where appropriate, communicated to active clients. Your continued use of the Site or Services after changes take effect constitutes acceptance.
18. General
These Terms, together with any applicable SOW and the policies referenced above, are the entire agreement between the parties regarding the subject matter and supersede prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
